SAHCO fixes June 19 for 16th AGM, pegs dividend at N1.20

Skyway Aviation Handling Company Plc has announced plans to hold its 16th Annual General Meeting on June 19, 2026, as shareholders prepare to deliberate on key corporate resolutions, including the approval of a dividend payout and the re-election of directors.
In a notice signed by the Company Secretary, Jesuyemisi Odeyemi, the aviation ground handling firm said the meeting would be held virtually at 11:00 a.m.
According to the notice, shareholders will consider and approve the company’s audited financial statements for the year ended December 31, 2025, alongside the reports of the directors, auditors and audit committee.
The board also proposed a dividend of N1.20 per ordinary share of 50 kobo for the 2025 financial year, subject to appropriate withholding tax and shareholders’ approval at the meeting.
“The Board of Directors of the Company has recommended a dividend of N1.20k per share, which is payable less the appropriate withholding tax at the time of payment,” the notice stated.
SAHCO said the dividend would be paid electronically on June 19, 2026, to shareholders whose names appear in the register of members as of the close of business on June 2, 2026.
The company further disclosed that the register of members and transfer books would be closed from June 3 to June 5, 2026, to facilitate the update of shareholders’ records and dividend processing.
At the AGM, shareholders will also vote on the re-election of three directors retiring by rotation, namely Mrs. Kayode Femi, Mr. Lalit St. Mathew-Daniel and Mr. Idoko Emmanuel.
In addition, members will consider the remuneration of directors, approve the remuneration of external auditors, and elect members of the statutory audit committee.
The company also notified shareholders of unclaimed dividend warrants and share certificates, urging affected investors to contact its registrar, Apel Registrars Limited, for resolution.
On governance matters, SAHCO said shareholders would deliberate on a proposal authorising the company to enter recurrent related-party transactions necessary for its day-to-day operations and revenue-generating activities.
