Nigerian Breweries approves new directors

Shareholders of Nigerian Breweries Plc have approved the appointment of three new directors and set the board’s total remuneration at N233.7 million for the 2026 financial year.
These were parts of resolutions passed at the company’s 80th Annual General Meeting (AGM) held in Victoria Island, Lagos, on April 23, 2026, where shareholders endorsed a consolidated vote on board changes
“That the approval of the appointments of the three new Directors by a single resolution be and is hereby approved,” reads the certified copy of proceedings jointly signed by the chairperson, Mrs. Juliet Anammah, and the company secretary, Uaboi Agbebaku.
In line with statutory provisions, the meeting also ratified specific appointments, including those of Mr. Thibaut Boidin, Mr. Guillaume Duverdier, and Mrs. Maria Karaseva as Directors in the company.
Retiring directors who sought another term were also returned through a single vote.
“That in line with Articles 90 and 91 of the Company’s Articles of Association, Mrs. Adeyinka O. Aroweyun and Mr. Roland Pirmex, be and are hereby re-elected Directors in the Company,” the document added.
On governance and oversight, the AGM elected members of the Statutory Audit Committee, including Chief Timothy A. Adesiyan, Mazi Samuel C. Mpamaugo, Mr. David O. Oguntoye, Mrs. Olufunmilayo A. Akande, and Mr. Jaap A.A. Overmars.
The board was also empowered to determine audit fees for the current year, with shareholders approving that: “That the Directors be and are hereby authorised to fix the remuneration of the Independent Auditor for the year ending 31st December 2026.”
“That the remuneration of the Directors for the year ending 31st December 2026, be and is hereby fixed at N233.7 million.”
The company also secured a renewal of its mandate for related-party transactions.
“That the general mandate given to the Company to enter into recurrent transactions with related parties for the Company’s day-to-day operations, including, amongst others, the procurement of goods and services, on normal commercial terms, be and is hereby renewed.”
Other items presented at the AGM included the 2025 financial statements and accompanying reports of directors, auditors, and the audit committee, which were received and noted by shareholders.
