Shareholders of Lafarge Africa Plc have approved a major corporate rebranding that will see the company renamed HBM Nigeria Plc.
This ias the shareholders also approved a final dividend payout of ₦96.65 billion for the 2025 financial year.
These resolutions were passed at the company’s 67th Annual General Meeting (AGM) held in Lagos, where investors ratified key board appointments, approved directors’ remuneration, and granted a general mandate for related-party transactions.
According to a statement jointly signed on Tuesday by the Chief Executive Officer, Lolu Alade-Akinyemi, and Company Secretary, Adewunmi Alode, shareholders approved a final dividend of ₦6 per unit of ordinary share, amounting to ₦96,646,774,326, payable in respect of the year ended 31st December 2025, subject to the deduction of applicable taxes.
The AGM also ratified the appointments of several directors, including Mr. Xuanqian Wang (Executive Director), and Messrs. Gang Xu, Qian Chen, Jiajun Wang, and Lin Zhang as Non-Executive Directors.
The re-election of key board members was also confirmed, including Chairman Gbenga Oyebode as a Non-Executive Director. Independent Non-Executive Directors Mrs. Oyinkansade Adewale and Mrs. Olusola Oworu were also re-elected, reinforcing continuity in the company’s governance structure.
Shareholders further authorized the board to determine the remuneration of external auditors for the 2026 financial year and approved the composition of the Statutory Audit Committee, which combines shareholder and board representatives.
They also granted a general mandate allowing the company to transact with related parties in the ordinary course of business, provided such dealings are conducted on normal commercial terms and aligned with regulatory provisions.
The board was authorized to take all necessary steps to implement the rebranding. These outcomes signal continued shareholder confidence in the company’s financial performance and strategic direction as it embarks on a new corporate identity.
