Guinness Nigeria appoints new directors

Guinness Nigeria Plc has appointed three new directors and re-elected three others, while fixing the remuneration of its non-executive directors at N180m for the 2026 financial year.

The resolutions were approved at the company’s 75th Annual General Meeting held on April 15, 2026, in Victoria Island, Lagos.

This was disclosed in a notice filed with the Nigerian Exchange Limited and signed by the Company Secretary, Abimbola Ajibola-Jimoh, on Thursday.

According to the notice, shareholders approved the appointment of Mr Mayank Kabra, Mrs Olusola Oworu and Mrs Bola Adesola as directors. The meeting also ratified the re-election of Mrs Vivien Shobo, Mr John Musunga and Mr Deepak Singhal as directos.

Shareholders fixed the remuneration of non-executive directors at N180m for the financial year ending December 31, 2026.

In addition, Mrs Olusola Oworu and Mrs Vivien Shobo were appointed to represent the board on the Statutory Audit Committee.

The audited financial statements for the year ended December 31, 2025, alongside the reports of the directors, independent auditors and the Statutory Audit Committee, were presented to shareholders and adopted.

Shareholders also approved the appointment of Ernst & Young as the company’s independent external auditors for the 2026 financial year, with effect from January 1, 2026. The board of directors was authorised to fix the auditors’ remuneration.

The following shareholders were re-elected as members of the Statutory Audit Committee: Mr Moses Igbrude, Mr George Ibhade and Mrs Joy Onome Adewuyi.

Shareholders noted the disclosure of the remuneration of the company’s managers in line with the provisions of the Companies and Allied Matters Act 2020.

They also renewed the general mandate for recurrent transactions of a revenue or trading nature with related parties for the 2026 financial year.

Guinness Nigeria, a subsidiary of Diageo Plc, is one of the country’s leading brewers, with brands such as Guinness Foreign Extra Stout, Malta Guinness and Orijin. The company is listed on the Nigerian Exchange under the consumer goods sector.
