Guaranty Trust Holding Company Plc (GTCO) has approved a final dividend payout of N429.83 billion for the 2025 financial year, alongside key board appointments.
The approval was granted during its 5th Annual General Meeting (AGM) held virtually on April 28, 2026.
At the meeting, shareholders endorsed a final dividend of N11.76 per 50 kobo ordinary share, bringing the total dividend for the year to N12.76 per share.
According to the resolutions, “That the final dividend in respect of the financial year ended December 31, 2025, in the sum of N429,830,699,084.64 from the profit after taxation of the Company be and is hereby approved and declared payable at a rate of N11.76 per 50 kobo ordinary share (bringing the total dividend paid to shareholders for the 2025 financial year to N12.76 per ordinary share of 50 kobo each).”
GTCO stated that the dividend will be paid to shareholders on the register as of April 13, 2026, subject to applicable withholding tax.
Shareholders also received the audited financial statements for the year ended December 31, 2025, and ratified board changes, including the election of Babatunde Soyoye and Marie Namias as independent non-executive directors.
The re-election of Suleiman Barau as an independent non-executive director and Catherine Echeozo as a non-executive director was also approved.
In addition, shareholders authorised the board to fix the remuneration of external auditors for the 2026 financial year and approved the composition of the Statutory Audit Committee.
The committee includes shareholder representatives Sandra Mbagwu-Fagbemi, Aderonke Kuye, and Babagana B. Laminu, alongside directors’ representatives.
On related-party transactions, shareholders granted a general mandate for the company and its affiliates to undertake recurrent transactions required for day-to-day operations.
The resolution specifies that such dealings must be “of a revenue or trading nature or are necessary for the company’s day-to-day operations,” and will remain in effect until the next AGM.
Shareholders also fixed directors’ remuneration at N334 million annually, subject to review at future AGMs.
This development underscores GTCO’s earnings strength, sustained shareholder returns, and continued focus on corporate governance.
