Abbey Mortgage Bank announces date for 29th Annual General Meeting

Abbey Mortgage Bank plc has announced the date for its 29th Annual General Meeting. The Annual General Meeting slated for Tuesday 19th of July 2022, 11:00 a.m. will hold at No. 23 Karimu Kotun street, Victoria Island Lagos.

In a statement made available to Nigeria NewsDirect, the meeting will include ordinary and special business agreements such as laying before the meeting the Audited Financial Statements for the year ended 31st December, 2021 together with the reports of the directors, auditors, audit committee and board appraisers thereon, electing /re-electing directors, authorising the directors to fix the remuneration of the auditors for the 2022 financial year, disclosing the remuneration of Managers and electing members of the audit committee.

Also at the meeting, the company will approve the remuneration of directors as directors were also implored to follow the right steps by complying with CAMA and regulation of the companies regulations 2021 as they relate to the unissued shares currently standing in the capital of the company which include the cancellation of the unissued shares of the company.

In addition, a consideration made by the company will involve the directors authorising a raise additional capital up to N15,000,000,000 locally or internationally, whether through right issue, public officer, private placement, special placing in such number as shall be determined by the Directors or through the issuance of bonds or notes or other instruments, debts loans, in any currency, in such tranches series of portions at such coupon or interest rates or otherwise within such maturity periods and on other terms and conditions as directors may deem fit or determine. The directors are advised to take  all necessary steps required to give full effect to the execution of any documents, all regulatory fillings and appointment of professional advisers.

As stated by the company, attendance and voting will involve proxy. With guidelines and directives aimed at curbing the spread of COVID-19 in Nigeria, particularly in Lagos, the Lagos State Government has prohibited large gatherings with the Corporate Affairs Commission (CAC) issuing guidelines on holding annual general meetings of public companies by proxy.
