Zenith Bank, UBA, others announce board meeting over 2020 FY

Zenith Bank Plc, United Bank for Africa Plc (UBA), two other financial institutions on the Nigerian Stock Exchange (NSE) have announced board meeting over audited financial statement for period ended December 31, 2020.

Others are Guaranty Trust Bank Plc (GTBank) and FBN Holdings.

The Company Secretary/General Counsel, Zenith Bank, Michael Otu in a statement to NSE on Tuesday said, “In line with listing regulations of the NSE for quoted companies, Zenith Bank hereby informs its shareholders, The NSE and the investing public that the Board of Directors of the Bank is scheduled to meet on Thursday, January 28, 2021, to consider the Group’s audited financial statements for the financial year ended December 31, 2020.”

He noted that in line with the post-listing requirements of the NSE for quoted companies, Zenith bank, declared the commencement of the closed period for trading in the bank’s shares from January 13, 2021 in respect of the audited financial financial statements for the year ended December 31, 2020.

“The closed period will run until 24 hours after the audited account is released to the public,” he said in a statement.

“Kindly noted that we required to forward the audited accounts to the Central Bank of Nigeria (CBN) for approval prior to the released of the results on the floor of the NSE.

“We shall notify you of the decisions reached after the approval of the CBN is obtained.”

Also, the Group Company Secretary, UBA, Bili Odum said, “In line with listing regulations of the Nigerian Stock Exchange for quoted companies, UBA hereby informs its shareholders, the NSE and the  investing public that the Board of Directors of the Bank is scheduled to meet on Tuesday, January 26, 2021 to consider, amongst other matters, the Group Audited Financial Statements and Reports for the year ended December 31, 2020, as well as proposals for the Final Dividend. The Results would only be published after relevant regulatory approval.

“In compliance with the post listing requirements of the Nigerian Stock Exchange for quoted companies, UBA hereby declares the commencement of the closed period for trading in the Bank’s shares from Tuesday, January 12, 2021 in respect of the Group Audited Financial Statements and Reports for the year ended December 31, 2020, as well as the Final Dividend.

“Accordingly, no Director, person discharging managerial responsibility, employee with sensitive information, adviser, and consultant of the Bank and their connected persons may directly or indirectly deal in the Securities (Shares and Bonds) of the Bank until 24 hours after the release of the Group Audited Financial Statements and Reports for the year ended December 31, 2020 to the NSE.”

The management of GTBank scheduled to meet on Wednesday, January 27, 2021 to consider the audited financial statement for the year ended December 31, 2020, while the board of FBN Holdings is to meet January 28, 2021 to consider the unaudited fourth quarter financial statement for the year ended December 31, 2020.
